HHLA supervisory board head Grube withdraws

The former railway chief wants to hand over the chairmanship of the Hafenlogistician Hafenlogistiker HHLA. Meanwhile, there are doubts as to whether his choice was legal at all.

The Chairman of the Supervisory Board of the Hamburg Hafenlogistiker Hhla, Rüdiger Grube, withdraws from his office. As soon as the succeeding of the outgoing CEO Angela Titzrath at the end of July, he would “hand over his post in an orderly” in an orderly “, the former railway chief told the” Hamburger Abendblatt “(Saturday). That will happen in the second half of the year. According to the company, pit has been on the Supervisory Board of Hamburg Hafen- und Logistik AG (HHLA) since June 2017.

Grube wanted to withdraw earlier

Originally, he wanted to announce his retreat at the general meeting in early July. “But then Ms. Titzrath’s withdrawal came in between,” Grube told the sheet. The city of Hamburg and the world’s largest shipping company MSC as the main owner would then have asked him to stay and regulate the successor.

At the moment, however, there are also allegations that pit sits on too many supervisory boards and thus violates stock law. The Hamburg specialist lawyer for commercial and corporate law, Sven Claussen, told the “Abendblatt”: “Rüdiger Grube may have already held ten supervisory board mandates at the time of the constituent supervisory board meeting on June 16, 2022.” It is therefore worth checking whether Grubes election as the supervisory board is void.

Hardly consequences for the companies

If this is the case, according to Claussen’s assessment, this would have hardly any consequences for the companies. Decisions would only be ineffective if Grubes voice was crucial. “Since supervisory board decisions are usually taken unanimously, the resolutions should be effective, which society must explain and prove.”

Most recently, there had been considerable trouble at the general meeting among shareholder representatives, among other things, due to Titzrath’s premature departure. Above all, the statement of Grubes and Titzrath itself met with unbelief, the separation will be “best exhausted” by the end of the year at the latest.

Titzrath was not informed about the entry of MSC

After all, there was always talk of discrepancies in the past. For example, the 59-year-old has been at the head of the HHLA for nine years, but it had not been integrated into the preparation of the controversial MSC entry at the port of Hamburg by the red-green Senate.

Titzrath’s contract was only extended by five years in January last year. In the meantime, the HHLA and Titzrath have also agreed financially. According to the pit, the manager receives her full salary plus royalties of 1.1 million euros for this year. In addition, she receives a severance payment of 1.58 million euros.
