In search of a comprehensive transformation in the national corporate legal environment and through the Resolution 47/2024 of the Ministry of Justice, an ambitious reform was proposed “with the primary objective of adapting the legal framework to the demands and challenges of the contemporary economy“.

“This initiative not only aims to modernize current regulations, but also to safeguard property rights and contractual freedom, fundamental pillars for the sustainable and equitable development of society,” reads the official text signed by the head of Justice. , Mariano Cuneo Libarona.

The need for this reform is based on various reasons that range from adaptation to the current economic dynamics to the resolution of problems of interpretation and application of current legislation. Also, specify what you are looking for encourage cooperation between entities, stimulate investment, promote the creation of new companies and strengthen employment generation, crucial elements for progress and collective well-being.

An ad honorem Commission is created

In order to carry out this reform in an effective and sustained manner, a Comprehensive Reform Commission of the Corporate Legal Regime will be established, which will operate within the scope of the Ministry of Justice. This commission will be made up of 12 professionals and doctrinaires specialized in the matter, who will work on an ad honorem basis, demonstrating their commitment to the legal development of the country.

The Commission will commit to preparing two reform projects within a period of 6 months. The first will focus on the General Companies Law No. 19,550, seeking to introduce modifications that harmonize the regulations with current requirements. The second project will address the Entrepreneurial Capital Support Law No. 27,349, particularly in relation to the Simplified Joint Stock Company (SAS), adapting these provisions to new business and technological realities.

Finally, as reported in the Official Gazette, these reform projects will be submitted to the National Congress for consideration and treatment.
